1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SociBubble ("Company," "we," "us," or "our") governing your access to and use of the SociBubble web platform, available at socibubble.com and all associated services (collectively, the "Service").

By accessing or using the Service in any way — including creating an account, attending an event as a guest, or simply browsing the platform — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

SociBubble is a web-based event connection platform that uses an interest-based matching algorithm to facilitate introductions between people at events. The Service allows hosts to create and manage events, and allows guests to complete interest surveys and receive algorithmically generated connection recommendations and personality archetype profiles.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18, you represent that you have obtained parental or guardian consent to use the Service and agree to these Terms.

By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract in your jurisdiction, and that you are not prohibited from using the Service under any applicable laws.

4. Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Keep your password secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at [email protected] if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that provide inaccurate information, violate these Terms, or engage in fraudulent activity.

Guest users who participate in events without creating an account are subject to these Terms with respect to their use of the Service, even without a registered account.

5. License Grant

Subject to your compliance with these Terms, SociBubble grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

This license does not include the right to:

• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service
• Modify, adapt, translate, or create derivative works based on the Service
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Use the Service to develop a competing product or service
• Scrape, crawl, or use automated means to access the Service without our prior written consent
• Remove or alter any proprietary notices, labels, or marks on the Service

All rights not expressly granted herein are reserved by SociBubble.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Transmit unsolicited communications, spam, or chain messages
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Collect or harvest personal information about other users without their consent
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Upload or transmit viruses, malware, or any other malicious code
• Interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure
• Attempt to gain unauthorized access to any portion of the Service or any related systems or networks
• Use the Service in any way that could disable, overburden, damage, or impair it

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement.

7. User Content

You retain ownership of any content you submit to the Service, including event names, profile information, survey responses, and contact card details ("User Content").

By submitting User Content, you grant SociBubble a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display your User Content solely as necessary to provide and improve the Service. This license terminates when you delete your User Content or your account, subject to any retention obligations described in our Privacy Policy.

You represent and warrant that you have all rights necessary to grant this license, and that your User Content does not violate any third party's rights or any applicable law.

We do not claim ownership of your User Content. We are not responsible for User Content submitted by other users.

8. Fees and Payment

Subscription plans

When paid plans become available, subscription fees will be billed in advance on a monthly or annual basis, depending on your selected billing cycle. All fees are stated in US dollars and are exclusive of applicable taxes.

Payment processing

All payments are processed by a third-party payment processor. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. SociBubble does not store your payment card details — this information is held securely by our payment processor in accordance with their terms and applicable card industry security standards.

Cancellation and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until that date. We do not provide refunds for partial billing periods, except where required by applicable law.

Price changes

We reserve the right to change subscription prices at any time. We will provide at least 30 days' advance notice of any price increase to existing subscribers. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

Taxes

You are responsible for all applicable taxes associated with your subscription. Where required by law, we will collect and remit applicable taxes on your behalf.

9. Pioneer Lifetime Access

What "lifetime" means

"Lifetime" access means access to the Service for as long as SociBubble continues to actively operate and offer the Service in substantially its current form. It does not mean perpetual, unconditional, or irrevocable access under any and all future circumstances.

What is included

Pioneer membership includes access to all features available to Pro-tier subscribers at the time of purchase, plus any Pro-equivalent features added to the platform in the future, at no additional charge, as long as the Service remains operational.

What is not guaranteed

• Continuity of service. If SociBubble ceases operations or discontinues the Service, Pioneer access will end at that time. SociBubble is not obligated to provide a refund, credit, or compensation in this event.
• Future tiers. If SociBubble introduces subscription tiers above Pro in the future, Pioneer members are not automatically entitled to those tiers unless explicitly stated at the time of their introduction.
• Material changes. We reserve the right to modify, replace, or discontinue specific features at our sole discretion. We will make reasonable efforts to notify Pioneer members of material changes in advance.
• Platform changes. If SociBubble substantially rebuilds or relaunches the platform under a different product structure, Pioneer access is tied to the current product iteration unless we explicitly extend it to the new structure.

Non-transferability

Pioneer membership is personal and non-transferable. It may not be sold, gifted, assigned, or shared with any other person or entity. Pioneer access is tied to the account created at the time of purchase.

Revocation

Pioneer access may be revoked without refund if you violate these Terms, including but not limited to the Acceptable Use provisions in Section 6. We will provide written notice before revoking access except in cases of severe or repeated violations.

No guarantee of features

Purchasing Pioneer access does not entitle you to any specific feature not currently available. Features shown on the pricing page marked as "coming soon" or otherwise not yet released are aspirational and subject to change. Pioneer membership is not contingent on the delivery of any future feature.

Refund policy for Pioneer

Due to the nature of lifetime access, Pioneer purchases are generally non-refundable after 14 days from the date of purchase. Within 14 days of purchase, you may request a full refund by contacting [email protected]. After 14 days, refunds are granted only where required by applicable law.

Policy updates

We reserve the right to update this Lifetime Access Policy. Material changes will be communicated to Pioneer members by email at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated policy.

10. Intellectual Property

The Service and all of its components — including but not limited to software, algorithms, user interface design, text, graphics, logos, and the interest-matching and archetype system — are owned by SociBubble and are protected by United States and international intellectual property laws, including copyright, trademark, and trade secret law.

Nothing in these Terms grants you any right, title, or interest in or to SociBubble's intellectual property other than the limited license expressly set forth in Section 5.

"SociBubble" and associated logos are trademarks of SociBubble. You may not use our trademarks without our prior written consent.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

Our interest-matching algorithm constitutes automated decision-making technology. Please review Section 4 of the Privacy Policy for a full description of how this works and your rights regarding it.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOCIBUBBLE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR CURRENTNESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE
• WARRANTIES THAT THE MATCHING ALGORITHM WILL PRODUCE ANY PARTICULAR RESULT, INTRODUCTION, OR CONNECTION

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

SociBubble does not warrant or make any representations regarding the suitability, reliability, availability, or accuracy of the services, products, or related materials contained on the Service for any purpose. Any reliance you place on such material is strictly at your own risk.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOCIBUBBLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
• COST OF SUBSTITUTE SERVICES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• DAMAGES ARISING FROM STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SOCIBUBBLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, SOCIBUBBLE'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SOCIBUBBLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless SociBubble and its officers, directors, employees, contractors, agents, partners, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service in a manner not authorized by these Terms
• Your User Content
• Your violation of any rights of a third party, including intellectual property rights or privacy rights
• Your violation of any applicable law or regulation

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

15. Termination

These Terms are effective from the date you first access or use the Service and continue until terminated.

Termination by you

You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations accrued prior to termination.

Termination by us

We may suspend or terminate your access to the Service, with or without notice, at our sole discretion, for any reason, including if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or your use poses a risk to us or other users.

Effect of termination

Upon termination, your license to use the Service immediately ceases. Sections 10 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 16 (Dispute Resolution), and 17 (Governing Law) survive termination.

16. Dispute Resolution

Informal resolution first

Before initiating any formal legal proceeding, you agree to contact us at [email protected] and give us at least 30 days to attempt to resolve the dispute informally. Many disputes can be resolved this way without the cost and delay of formal proceedings.

Binding arbitration

If we cannot resolve a dispute informally, you and SociBubble agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service — except as provided below — shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Exceptions to arbitration

Either party may bring claims in small claims court for disputes within that court's jurisdiction. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Class action waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND SOCIBUBBLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Time limitation

Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred.

17. Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United States and the Commonwealth of Massachusetts, without regard to its conflict of law principles.

For any dispute not subject to arbitration under Section 16, you consent to the exclusive jurisdiction of the state and federal courts located in Massachusetts.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and post the revised Terms here before they take effect. We encourage you to check back periodically, particularly if you hold Pioneer lifetime access.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with a change, you must stop using the Service and, if applicable, cancel your subscription before the effective date.
